What is a Nidhi Company?

A Nidhi Company (NC) is a type of entity in the Indian non-banking financial sector, recognized under Section 406 of the Companies Act, 2013. Its primary objective is to cultivate the habit of thrift and savings among its members by receiving deposits from and lending to its members only, for their mutual benefit.

Unlike traditional NBFCs, a Nidhi Company does not require a formal license from the RBI to commence operations, provided it complies with the Nidhi Rules, 2014. This makes it an attractive entry point for those wanting to venture into the finance industry without the multi-crore capital requirements typically associated with banking licenses.

Eligibility and Pre-requisites for Registration

Before you begin the filing process, you must ensure your founding team meets the basic criteria set by the MCA. To incorporate a Nidhi Company, you must first register it as a Public Limited Company.

Basic Structural Requirements:

  1. Minimum Members: You need at least 7 members to start the incorporation.
  2. Minimum Directors: A minimum of 3 directors is mandatory.
  3. Name Requirement: The name of the company must end with the words "Nidhi Limited".
  4. No Preference Shares: Nidhi companies are strictly prohibited from issuing preference shares; only equity shares can be issued.
  5. Capital Requirement: At the time of incorporation, the company must have a minimum paid-up equity share capital of ₹10 Lakhs.

The Step-by-Step Registration Process

1. Digital Signature Certificate (DSC) and DIN

The first step is obtaining a DSC for all proposed directors. This is essential for signing electronic forms. Simultaneously, we apply for the Director Identification Number (DIN) for those who do not already possess one.

2. Name Approval (RUN/SPICe+)

We help you select a unique name that reflects your brand while adhering to the Nidhi Rules. The name is reserved through the Reserve Unique Name (RUN) facility or directly via the SPICe+ Part A form.

3. Drafting MOA and AOA

The Memorandum of Association (MOA) and Articles of Association (AOA) are the constitution of your company. For a Nidhi, the MOA must explicitly state that the main object is "promoting thrift and savings habit among members and receiving deposits from, and lending to, its members only."

4. Filing for Incorporation (SPICe+)

Once the documents are ready, we file the SPICe+ form (Simplified Proforma for Incorporating Company Electronically Plus). This integrated form covers:

  • Application for Incorporation (INC-32)
  • Allotment of DIN
  • Application for PAN and TAN
  • GST Registration (Optional but recommended)

5. Obtaining the Certificate of Incorporation (COI)

Upon successful verification of the documents, the Registrar of Companies (ROC) issues the Certificate of Incorporation. Your Nidhi Company is now legally born.

Critical Post-Registration Compliances

The journey doesn't end with incorporation. To be declared a "Nidhi" and maintain legal status, there are two major milestones you must achieve within one year of registration:

The 200 Member Rule

Within one year of commencement, every Nidhi Company must ensure it has at least 200 members. Failing to meet this requirement can lead to penalties and restrictions on accepting further deposits.

Net Owned Funds (NOF) Requirement

The company must maintain Net Owned Funds (NOF) of at least ₹20 Lakhs. While the incorporation capital is ₹10 Lakhs, the company must grow its funds through equity and reserves to reach the ₹20 Lakhs mark. Furthermore, the ratio of NOF to deposits should not exceed 1:20.

Form NDH-4: The Final Declaration

Within 120 days of its incorporation, a Nidhi Company must file Form NDH-4 with the MCA to apply for a declaration as a Nidhi Company. This is a crucial step; without the approval of NDH-4, the company cannot accept deposits or provide loans.

Prohibitions: What a Nidhi Company Cannot Do

To protect the interests of the public, the government has placed strict restrictions on Nidhi activities. A Nidhi Company cannot:

  • Carry on the business of chit funds, hire purchase finance, or insurance.
  • Open current accounts for its members (it can only offer savings and fixed deposits).
  • Accept deposits from or lend to anyone who is NOT a member.
  • Pledge any of the assets lodged by its members as security.
  • Pay any brokerage or incentive for mobilizing deposits.
